Vancouver Front Runners: Constitution and bylaws

  1. The name of this organization is Vancouver Front Runners.
  2. The organization's purpose is to promote running in the LGBT community of Metro Vancouver, including team participation in established races.
  3. Membership is open to any person having an interest in running.
  4. There shall be at least five officers of Vancouver Front Runners (the “executive committee”). Each officer will have an equal vote in meetings of the executive committee.
  5. All members of the executive committee must be elected by a majority vote at the annual general meeting. Any member in good standing may be nominated to join the executive committee.
  6. Of the five officers, there will be two with specific duties:
    1. president
    2. treasurer
  7. Other than the specific duties of the president and the treasurer noted below, the general activities of the executive committee may be carried out by any member of the executive committee, with the general consent of the executive committee.
  8. The specific duties of the president of Vancouver Front Runners are:
    1. Represent VFR in the community and with external parties (e.g., Team Vancouver, Vancouver Parks Board, etc.)
    2. Call an annual general meeting every 9-15 months.
    3. Supervise all activities of Vancouver Front Runners.
  9. The specific duties of the treasurer of Vancouver Front Runners are:
    1. Be responsible for all financial matters of Vancouver Front Runners
    2. Report to the president, the executive committee, and the general meetings all financially related matters upon request
  10. The other duties and activities of the executive committee are:
    1. Membership
      1. Maintain an accurate and up-to-date membership list.
      2. Provide membership application forms for general distribution.
      3. Make copies of the constitution and bylaws available to all members.
      4. Assist with reports to the executive committee and general meetings.
      5. Notify members of all general meetings.
      6. Keep accurate records of all general meetings and executive committee meetings.
    2. Marketing
      1. Promote and expand Vancouver Front Runners' visibility in the community.
      2. Retain and expand membership.
      3. Maintain the Vancouver Front Runners website.
      4. Coordinate and promote club clothing.
    3. Social events
      1. Plan and organize special events of interest to the membership
    4. Race coordination
      1. Coordinate member participation in races (e.g., transportation, accommodation, post-race brunch, etc.)
  11. Quorum at executive committee meetings is met by the attendance of three executive officers.
  12. The executive committee is empowered to conduct all business of VFR, but may delegate that power to a general meeting of the membership.
  13. All members of the VFR may attend and vote at any general meeting.
  14. Any expenditure over the amount of $100 on behalf of Vancouver Front Runners requires the prior approval (in writing or by email) of a majority of the members of the executive committee and will be reported to the membership at the following general meeting.
  15. This constitution and by laws becomes effective upon 2/3 favourable vote by the membership at a general meeting.
  16. This constitution may be amended by no fewer than three votes of the executive committee pending a 2/3 confirmation vote by the membership at a general meeting. Amendments may be proposed by any member at a general meeting or executive committee meeting, or by submitting them in writing to the president. If a member or members present a petition for amendment other than at an annual general meeting, the president will call a general meeting within three weeks. A copy of the amendment petition will be made available to all members.
